MERIDIAN SCP — END USER LICENCE AGREEMENT
Version 1.0. Last updated 27 August 2026.
This Agreement is between Initcap ("we", "us") and the person or organisation that installs or uses MERIDIAN SCP ("you"). By installing or using the software you accept it. If you do not accept it, do not install the software, and contact us for a refund.
1 WHAT YOU ARE BUYING
1.1We grant you a non-exclusive, non-transferable licence to install and use MERIDIAN SCP for the term you have paid for.
1.2A licence is counted in SEATS. One seat permits installation on one computer at a time. Your licence key states how many seats it carries; unless stated otherwise it carries one.
1.3You may move a seat between computers as often as you like. Use the Deactivate control in the application to release the seat, then activate on the new computer. There is no limit on transfers.
1.4The "desktop" edition covers the installed application. The "desktop + web" edition additionally covers signing in to our hosted web application with the same licence.
1.5You may install the software on a computer you do not personally own — a work machine, a virtual machine, a build server — provided the seat count is respected.
2 WHAT YOU MAY NOT DO
You may not:
- share, resell, sublicense, rent or lend your licence key;
- use one seat on more computers at once than the licence allows;
- modify, decompile or reverse engineer the software, except to the extent that law expressly permits despite this restriction;
- remove or alter any notice of ownership in the software;
- circumvent, disable or tamper with the licensing mechanism.
Clause 2(c) does not affect your rights under sections 50B and 50BA of the Copyright, Designs and Patents Act 1988.
3 ACTIVATION, AND WHAT WE CAN SEE
3.1The software contacts our licensing server ONCE, when you activate it. It sends your licence key, an anonymous fingerprint of the computer, and the version you are running. It receives a signed licence in return.
3.2After activation the software works entirely offline. It does not report your usage, your servers, your file transfers or your commands to us, and it has no facility to do so.
3.3The software periodically asks our server what the latest published version is. That request carries no licence key, no fingerprint and no identifier of any kind.
3.4THE DESKTOP APPLICATION: WE NEVER RECEIVE YOUR CREDENTIALS. Your SSH keys, passwords, server addresses and database connection strings stay on your computer, encrypted at rest. There is no field for them in our records and no route by which they reach us.
3.5THE WEB APPLICATION: WE NEVER STORE YOUR CREDENTIALS. This is a different promise, and the difference is not marketing.
A browser cannot open an SSH connection — the protocol does not allow it — so when you use the web application our server makes the connection on your behalf, and the credentials you type must reach it to do that. They are held in memory for that session only. They are never written to disk, never written to a log, and are erased when you sign out or the session expires.
If you would rather we never received them at all, use the desktop application. That is what it is for, and clause 3.4 applies to it without exception.
3.6FILES YOU UPLOAD THROUGH THE WEB APPLICATION rest briefly on our server before being sent to your server. A browser upload cannot be streamed straight through; it has to arrive somewhere first. Those files are written to a private directory for your account, deleted when the transfer finishes or fails, and swept if a fault leaves one behind. We do not read them, index them or keep copies.
Files transferred SERVER TO SERVER do not rest on our systems at all.
3.7We store, for each licence: the key, your name and email address, the edition and expiry, the fingerprints of the computers that have activated it, the version each was running, and your invoices.
4 WHAT THE SOFTWARE DOES, AND WHOSE RESPONSIBILITY THAT IS
4.1MERIDIAN SCP connects to servers YOU nominate and performs file transfer, shell and database operations against them, using credentials YOU supply. It does what you instruct it to do.
4.2You are responsible for what you point it at, for having authority to access those systems, and for the consequences of the operations you run. This includes overwriting, deleting or transferring data.
4.3You are responsible for your own backups. The software is not a backup system and must not be relied on as one.
5 TERM, RENEWAL AND EXPIRY
5.1Your licence runs for the term stated when you bought it, from the date of purchase.
5.2The software warns you in the application as expiry approaches.
5.3WHEN A LICENCE EXPIRES THE SOFTWARE STOPS WORKING until it is renewed. It does not delete anything. Your saved connection profiles, settings and data remain on your computer, and become usable again the moment you renew.
5.4Renewal extends from the later of today and your current expiry date, so renewing early never costs you the time you have left.
5.5Licences do not renew automatically and we do not store your card details. You will not be charged without buying again.
6 REFUNDS AND CANCELLATION
6.1If you are a consumer in the UK or EU you have 14 days to cancel for a refund. By installing and activating the software you ask us to begin supply immediately and acknowledge that you lose that right once activation completes, under the Consumer Contracts Regulations 2013.
6.2Regardless of 6.1, if the software does not work for you, tell us within 30 days of purchase and we will refund you.
6.3We may revoke a licence obtained fraudulently or charged back. Revocation blocks new activations; copies already activated continue to work until they expire.
7 UPDATES AND SUPPORT
7.1Updates published during your licence term are included. The software tells you when one is available; it never installs anything by itself.
7.2Support is provided by email at the address on our website, on a reasonable-endeavours basis. We do not offer a guaranteed response time unless separately agreed in writing.
8 OWNERSHIP
The software is licensed, not sold. We and our licensors own all intellectual property in it. You own everything you create with it — your data, your configurations, your transfers — and we claim no rights over any of it.
9 NO WARRANTY
9.1The software is provided "as is". To the fullest extent the law allows, we exclude all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9.2We do not warrant that the software will be uninterrupted or error free, or that it is fit for any particular system you point it at.
9.3Nothing in this Agreement affects your statutory rights as a consumer.
10 LIMITATION OF LIABILITY
10.1Nothing in this Agreement limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
10.2Subject to 10.1, we are not liable for loss of profit, loss of business, loss or corruption of data, loss of anticipated savings, or any indirect or consequential loss, however arising.
10.3Subject to 10.1, our total liability arising out of this Agreement is limited to the amount you paid us for the licence in the twelve months before the claim arose.
10.4These limits are reasonable given the price of the software and the fact that you control what it is used on. Insure your own risk accordingly.
11 DATA PROTECTION
11.1For the licensing records described in clause 3.5 we are the data controller. We process them to sell you a licence, to let you activate it, and to meet our accounting obligations. We keep them for as long as you hold a licence and for six years afterwards for tax purposes.
11.2We do not sell your data and we do not use it for advertising.
11.3You may ask us for a copy of your data, ask us to correct it, or ask us to delete it once your licence has ended. Write to the address on our website.
11.4If you use our hosted web application, a separate privacy notice and, where required, a data processing agreement apply to the data you put into it.
12 IF THINGS CHANGE
12.1We may change this Agreement for FUTURE licence purchases and renewals. The version you accepted governs the term you have already paid for.
12.2We may end your licence without refund if you materially breach clause 2 and do not put it right within 14 days of us asking.
13 GOVERNING LAW
13.1This Agreement is governed by the laws of England and Wales.
13.2The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK or EU you may bring proceedings in your own country and the mandatory consumer-protection law of your country still applies to you.
14 THE WHOLE AGREEMENT
This is the entire agreement between us about the software. If any part of it is found unenforceable, the rest continues to apply.
